Regeneron’s Corporate Governance & Securities Team is seeking an experienced attorney to serve as a strategic and solutions-oriented partner supporting our rapidly growing and globally expanding business. In this role, you will provide proactive legal advice on global subsidiary management, corporate governance, and general corporate matters. You may also be involved in providing legal support on public company reporting, securities law compliance, treasury/financing matters, and corporate transactions. You will be an integral member of a collaborative, agile Law Department that partners closely with key internal clients including Tax, Finance, Treasury, and Accounting/Financial Reporting.

  • Hybrid: 4 days per week on site

Discover your role:

  • Serve as a dedicated resource for global subsidiary management, supporting Regeneron’s approximately 30 domestic and international subsidiaries across a range of legal and corporate governance requirements, including statutory financial statement audits, corporate filings, and banking mandates, while coordinating closely with Regeneron Tax, Finance, Treasury, and Accounting/Financial Reporting teams.

  • Manage and maintain Regeneron’s cloud-based corporate document database (hCue), ensuring data integrity and accessibility of corporate records.

  • Draft and maintain shareholder and board resolutions, consents, agendas, secretary’s certificates, and other records.

  • Provide legal advice regarding certain intercompany transactions, including intercompany financing arrangements.

  • Assist with shareholder/equityholder meeting matters for Regeneron’s subsidiaries.

  • Assist in connection with board and committee meetings for Regeneron’s subsidiaries.

  • Oversee the formation and setup of future domestic and international subsidiaries. Work across international jurisdictions and cross-functional teams, with the ability to manage competing priorities and reduce reliance on outside counsel.

  • Assist other legal matters in which the Corporate Governance & Securities team is involved from time to time, such as preparation of current and periodic reports to the SEC, including Forms 10-K, Forms 10-Q, and Forms 8-K; Section 16 reporting; financing matters and legal support of the treasury function; and corporate transactions.

This role requires:

  • JD with excellent law school credentials.

  • Licensed to practice law in New York, or eligible for licensure as registered in-house counsel in New York.

  • 8–10 years of experience in SEC reporting, public company compliance, corporate governance, and/or global subsidiary management.

  • Experience with international subsidiary management and cross-border corporate governance matters is a strong plus.

  • Law-firm training preferred; prior in-house experience a plus.

Salary Range (annually)

$205,000.00 - $341,600.00
